Welcome to VibeIt! Please read these Terms and Conditions ("Terms") carefully before using the VibeIt website and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines referenced herein. If you do not agree to these Terms, you may not use the Platform.

 

1. Definitions

• "VibeIt," "we," "us," or "our": Refers to [Your Company Name, e.g., VibeIt Solutions Pvt. Ltd.], the owner and operator of the Platform.
• "Platform": Refers to the VibeIt website, mobile applications, and any related services, tools, or features provided by VibeIt.
• "User," "you," or "your": Refers to any individual accessing or using the Platform, including Creators and Subscribers.
• "Creator": Refers to a User who creates and publishes Content on the Platform, offering subscriptions or other paid access to their Content.
• "Subscriber": Refers to a User who pays a subscription fee or other charges to access a Creator's Content.
• "Content": Refers to any text, images, videos, audio, data, or any other material uploaded, posted, shared, or made available by Creators on the Platform.
• "Subscription": Refers to a recurring payment made by a Subscriber to a Creator in exchange for access to the Creator's exclusive Content.
• "Wallet": Refers to the virtual account within the Platform where Users can hold funds for making payments or receiving payouts.
• "Payout": Refers to the process by which Creators receive funds earned on the Platform.
• "Fee": Refers to the commission or service charge deducted by VibeIt from Creator earnings or other transactions.
• "Payment Gateway": Refers to third-party services used by VibeIt to process payments (e.g., Stripe, PayPal, Razorpay).

 

2. Eligibility and Account Registration

2.1. Eligibility: To use the Platform, you must be at least 18 years old or the age of legal majority in your jurisdiction, and capable of forming a binding contract. If you are under 18, you may only use the Platform with the involvement of a parent or guardian. 2.2. Account Creation: You must register for an account to become a User. You agree to: * Provide accurate, current, and complete information during the registration process. * Maintain and promptly update your account information. * Maintain the security of your password and identification. * Notify us immediately of any unauthorized use of your account. * Be fully responsible for all activities that occur under your account. 2.3. Creator Verification: To become a Creator and earn money, you may be required to complete an identity verification process (KYC) and provide accurate payout information. We reserve the right to approve or deny Creator applications at our sole discretion.

 

3. User Conduct and Responsibilities

3.1. General Conduct: You agree to use the Platform only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Platform. Prohibited behavior includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Platform. 3.2. Prohibited Activities: You agree not to: * Use the Platform for any illegal or unauthorized purpose. * Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. * Interfere with or disrupt the integrity or performance of the Platform. * Collect or store any personally identifiable information from the Platform without explicit consent. * Engage in any form of "spam," "phishing," or other similar schemes. * Circumvent or attempt to circumvent any Fee, payment process, or security measure on the Platform. 3.3. Creator Responsibilities: If you are a Creator, you are solely responsible for: * All Content you publish, including its legality, originality, and appropriateness. * Obtaining all necessary rights, licenses, or permissions for any Content you post that is not your original work. * Complying with all applicable laws and regulations, including those related to advertising, consumer protection, and privacy. * Fulfilling your commitments to Subscribers. * Accurately representing your Content and services. 3.4. Subscriber Responsibilities: If you are a Subscriber, you agree: * Not to download, copy, reproduce, distribute, or otherwise exploit any Creator's Content outside of the Platform without explicit permission from the Creator. * Not to share your Subscription access with others. * To be solely responsible for ensuring your devices are compatible with accessing Content.

 

4. Content Ownership and Licensing

4.1. Creator Ownership: Creators retain all ownership rights to the Content they upload to the Platform. 4.2. License to VibeIt: By uploading Content to VibeIt, Creators grant VibeIt a non-exclusive, worldwide, royalty-free, transferable, sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such Content on and through the Platform in connection with the services provided by VibeIt, including for promotional purposes. This license terminates when you remove your Content from the Platform, except for Content shared with others that they have not deleted. 4.3. License to Subscribers: By subscribing to a Creator, Subscribers are granted a limited, non-exclusive, non-transferable license to access and view the subscribed Content solely for their personal, non-commercial use on the Platform.

 

5. Subscriptions, Payments, and Wallet System

5.1. Subscriptions: * Subscribers agree to pay the stated subscription fee for the Creator's Content they wish to access. * Subscriptions typically auto-renew unless cancelled by the Subscriber before the renewal date. * Subscription fees are generally non-refundable. VibeIt may, at its sole discretion, offer refunds in exceptional circumstances (e.g., Creator's account termination due to violation of terms). 5.2. Payments: * All payments for Subscriptions and other services on the Platform are processed through third-party Payment Gateways. * You agree to abide by the terms and conditions of the respective Payment Gateway. * VibeIt is not responsible for any issues or disputes arising directly with the Payment Gateway. 5.3. VibeIt Fees: VibeIt charges a Fee on Creator earnings, as specified in your Creator dashboard or our pricing page. This Fee covers the costs of operating the Platform, payment processing, and other services. Fees are subject to change, with prior notice. 5.4. Wallet System: * Users can deposit funds into their Wallet using approved Payment Gateways. * Creators' earnings will be credited to their Wallet. * Funds in the Wallet are virtual and non-transferable outside the Platform, except through the official Payout process. * Withdrawals (Payouts) from the Wallet are subject to minimum thresholds, processing times, and potential withdrawal fees, as outlined in your Creator dashboard. * VibeIt reserves the right to hold, suspend, or cancel payouts if we suspect fraudulent activity, violation of these Terms, or if required by law. 5.5. Taxes: Users are solely responsible for all taxes, duties, and levies imposed by any governmental authority in connection with their use of the Platform, including, but not limited to, income taxes on Creator earnings or sales taxes on subscriptions. VibeIt will not provide tax advice.

 

6. Prohibited Content

You agree not to upload, post, transmit, or otherwise make available any Content that:

• Is illegal, promotes illegal activities, or violates any local, state, national, or international law.
• Is sexually explicit, pornographic, or depicts nudity (unless explicitly permitted by VibeIt's strict content guidelines, which may be separately provided and are subject to change, and even then, may be subject to age restrictions or specific labeling).
• Is abusive, threatening, harassing, defamatory, obscene, vulgar, or otherwise objectionable.
• Promotes discrimination, hatred, or violence against any group or individual.
• Infringes upon the intellectual property rights (copyright, trademark, patent, trade secret, etc.) of others.
• Contains personal or confidential information of others without their express consent.
• Contains viruses, malware, or any other malicious code.
• Is false, misleading, or fraudulent.
• Involves child exploitation or abuse in any form.

VibeIt reserves the right, but not the obligation, to remove any Content that violates these Terms or is otherwise objectionable, in our sole discretion, and to terminate the account of the User who posted such Content.

 

7. Intellectual Property Rights

7.1. VibeIt's IP: All intellectual property rights in the Platform itself (excluding User Content), including but not limited to software, design, text, graphics, logos, and trademarks, are owned by VibeIt or its licensors. You may not use VibeIt's intellectual property without our prior written consent. 7.2. Copyright Infringement (DMCA Policy): VibeIt respects the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Platform, please notify us immediately at [Your DMCA/Copyright Contact Email Address, e.g., [email protected]] with the required information under the Digital Millennium Copyright Act (DMCA) or equivalent laws.

 

8. Disclaimers

THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES AVAILABLE THROUGH THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

VIBEIT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. VIBEIT DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE.

 

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIBEIT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM.

IN NO EVENT WILL VIBEIT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT PAID BY YOU TO VIBEIT (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

 

10. Indemnification

You agree to indemnify, defend, and hold harmless VibeIt, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from your use of the Platform, your Content, your violation of these Terms, or your violation of any rights of another.

 

11. Termination of Accounts

11.1. By VibeIt: We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Grounds for termination include, but are not limited to, violation of Prohibited Content rules, fraudulent activity, or non-payment of fees. 11.2. By User: You may terminate your account at any time by following the instructions on the Platform. Upon termination, any outstanding subscriptions or earnings will be handled according to our standard policies. 11.3. Effect of Termination: Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

 

12. Privacy Policy

13. Dispute Resolution and Governing Law

13.1. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and VibeIt's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. 15.3. Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VibeIt regarding your use of the Platform. 15.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without VibeIt's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect.
